Due to substantial business growth, we are recruiting for a Group Company Secretary to be responsible for providing leadership and oversight of corporate governance, statutory compliance, and company secretarial services across the Group. The role ensures that Collas Crill Trust Guernsey (CCTG), Collas Crill Trust Jersey (CCTJ) and Collas Crill Corporate Services in Cayman (CCCS) are administered in accordance with applicable laws, regulatoryrequirements, and best-practice governance standards in their jurisdictions. Acting as a trusted adviser to the Boards and senior management of these entities, the Group Company Secretary supports effective decision-making, maintains robust governance frameworks, and leads the delivery of high-quality company secretarial services to both internal stakeholders and external clients.

  • Provide group-wide management in relation to corporate governance matters, company secretarial activities, and statutory compliance for CCTG, CCTJ and CCCS.
  • Act as a trusted adviser to the Boards and senior management on governance, regulatory, and fiduciary matters across multiple jurisdictions.

**Group Duties: **

  • Board pack production and distribution for the following meetings:

  • Quarterly and ad hoc CCTG, CCTJ and CCCS board meetings

  • Quarterly and ad hoc Risk and Compliance Committee meetings

  • New Business Forum meetings in CCTG and CCTJ

  • Meetings of any CCTG, CCTJ and CCCS subsidiary companies as required

  • Attendance at the above meetings in order to take the minutes (with support from AI) and note action points;

  • Distribute draft minutes and action points in a timely manner and ensure that the minutes are reviewed and action points are completed;

  • Management of comments entered into board minutes, capturing and tracking action points for follow up;

  • Oversight of contracts, delegations of authority and reserved matters of CCTG, CCTJ and CCCS;

  • Preparation of Director attendance records, Director interest register etc.

  • Act as advisor to the Boards and senior management teams on governance matters and best practice standards;

  • Ensure CCTG, CCTJ and CCCS comply with applicable legal, regulatory and fiduciary obligations in relation to the maintenance of statutory records, filings and registers;

  • Develop, implement and maintain any policies and procedures to support the governance frameworks within CCTG, CCTJ and CCCS;

  • Take forward the consideration of any ESG reporting requirements and / or changes to corporate governance regulations in this regard; to develop and implement policies and procedures as to how these have been applied by the Board.

Collas Crill Trust Guernsey Specific Duties: - Manage a book of registered office/registered agent only entities, ensuring oversight and risk management via the ongoing receipt of reporting from the external Directors;

  • Deal with incorporation only enquiries and carry out all relevant work in this regard;
  • Deal with migration only enquiries and carry out all relevant work in this regard;
  • Manage ODPA registrations/annual filings for CCTG's client entities;
  • Super user of Guernsey Registry portal, training new joiners, on hand to assist the team with any queries;
  • Guernsey Signatory list updates and circulation to third parties;
  • Support the Board with the annual gap analysis against the Corporate Governance Code;
  • Manage Guernsey Registry filings including Annual Validations;
  • Management of the CCTG structure chart;
  • Maintain list of Registered office entities at Reception.

The successful candidate will be a CGI or ICSA qualified Company Secretary with at least 7 years' experience in a similar role, with knowledge of the trust sector. They will have thorough knowledge of company law, regulatory and legislative requirements, the ability to design, implement and monitor
governance frameworks across multiple companies, and good knowledge of Board management
software systems. Experience in coordinating and/or undertaking Board effectiveness reviews and governance best practice is also key.

Strong interpersonal and communication skills, and the ability to deliver work to deadline are essential. Organisational skills and a strong team mentality are equally as important. Candidates must hold a right to work document allowing them to live and work in Guernsey, such as a Permanent Residence Certificate, or a Family Member Permit.
